These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your") and Zest Delicious Software LLC ("Zzest", "we", "us", "our") regarding your use of the Zzest platform and services, including live cooking sessions, related websites, and any associated software, content, and features (collectively, the "Service"). By accessing or using the Service in any capacity — as a Creator or as a Participant — you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 18 years old to use the Service, whether as a Creator or a Participant. By using the Service, you represent and warrant that you are at least 18.
The Service is currently available to users located in the United States. If you access the Service from elsewhere, you do so on your own initiative and are responsible for compliance with local laws.
You may not use a VPN, proxy, or other traffic-anonymizing or location-masking technology to circumvent geographic restrictions on the Service. Doing so is a material breach of these Terms.
The Service enables Creators to offer live video cooking sessions to their audiences and enables Participants to join and cook along in real time. Sessions are hosted in the browser and may be accessed from a Creator's blog or from a link shared on social media. The Service is provided for entertainment and community purposes only and does not constitute medical, nutritional, health, legal, financial, or food-safety advice.
The Service is currently in a pre-launch phase. Sessions, features, pricing, and revenue-share terms may change, and some features described in marketing materials may not yet be available. You acknowledge that the Service is provided on a limited, evolving basis and that you should not rely on any future feature, capability, or level of activity being available at any particular time.
Zzest is not responsible for, and disclaims all liability related to, food safety, foodborne illness, allergic reactions, or any health issues arising from recipes, ingredients, or cooking methods shared during sessions. You are solely responsible for verifying the safety and suitability of any recipe or method, checking for food allergies and dietary restrictions, ensuring proper food handling, and consulting qualified professionals regarding dietary or health concerns.
The Service and any Content shared through it are provided for general informational and entertainment purposes only. Nothing in the Service constitutes legal, financial, tax, medical, nutritional, or other professional advice. You should not rely on any Content as a substitute for advice from a qualified professional, and you are solely responsible for any decisions you make in reliance on the Service. Creators, in particular, are responsible for their own tax, legal, and business affairs relating to any revenue earned through the Service.
Participants may, at their option, purchase Upgrades during a Session. The purchase of any Upgrade is subject to the payment terms presented at the time of purchase, and all such payments are final except as required by law or as otherwise stated at the time of purchase.
For eligible Creators, Zzest shares a percentage of the net revenue generated from Upgrades purchased by Participants in the Creator's Sessions. The revenue share currently consists of an 80% standard share plus a 10% early-adopter bonus, for a total of 90%, with the remaining balance retained by Zzest for the operation, moderation, and support of the Service. The applicable rates will be disclosed to the Creator as part of onboarding.
Zzest may, in its sole discretion and from time to time, modify the standard revenue-share rate, the early-adopter bonus (including whether it continues to be offered, its amount, and its applicability), and any other payment terms, with or without prior notice. Continued use of the Service after such changes constitutes acceptance of the revised terms. Nothing in these Terms guarantees that any particular revenue-share rate or bonus will be maintained for any period.
Payments to Creators will be made in accordance with the payout terms, thresholds, and schedules disclosed by Zzest to the Creator. Zzest may withhold or set off any amounts owed to us by a Creator. Creators are solely responsible for all taxes arising from revenue earned through the Service, and Zzest may be required to collect and report tax information as required by law (including, where applicable, Form W-9 or W-8BEN information).
Zzest does not guarantee any particular level of revenue, traffic, engagement, session attendance, or number of Sessions. Actual results will vary and depend on factors beyond Zzest's control, including the Creator's audience, participation, and market conditions.

To become a Creator, you must apply and provide accurate, current, and complete information as requested (including a valid email address and, where applicable, your blog domain and/or Instagram and TikTok handles and an estimate of your audience size). Acceptance as a Creator is at Zzest's sole discretion and may require manual review and verification by Zzest. Zzest is under no obligation to accept any application, and may reject an application for any reason or no reason. Approval of an application does not constitute a promise of future Sessions, revenue, or continued participation.
You represent and warrant that: (a) you own, or are lawfully authorized to operate, the blog and/or social media account(s) you associate with your Creator account; (b) all information you provide to Zzest, including your audience size, is true, accurate, and not misleading; (c) you have the rights to any Creator Materials you contribute; and (d) your use of the Service complies with the terms of any third-party platform (including Instagram and TikTok) and all applicable laws.
Blog Creators agree to install and maintain the Zzest snippet on their blog for as long as they participate as a Creator, and to re-install it if it is removed. Social Creators agree to keep their associated social media account(s) active and in good standing, and to cooperate with Zzest in scheduling and promoting Sessions. All Creators agree to respond promptly to communications from Zzest and to keep their account information current.
Creators accepted during the early-adopter period may be eligible for the early-adopter bonus described in Section 7.2. The bonus is not guaranteed to be perpetual and may be changed, limited, or discontinued by Zzest at any time in accordance with Section 7.3. Eligibility for, and continued receipt of, the bonus may be conditioned on continued participation in good standing and compliance with these Terms.
Zzest may moderate, remove, or terminate any Session, Content, or Creator account at any time, with or without notice or cause, including for violation of these Terms, concerns about safety, quality, or legality, or for any other reason. Zzest is not liable to any Creator for any lost revenue, opportunity, or expectation arising from such moderation or removal.
You retain all right, title, and interest in and to your Creator Materials. Nothing in these Terms transfers ownership of your Creator Materials to Zzest. By contributing Creator Materials or appearing in a Session, you grant Zzest the licenses described in Section 10 with respect to Content and recordings of Sessions.
Where your participation involves social media platforms such as Instagram or TikTok, your use of those platforms remains subject to their respective terms of service and policies, which Zzest does not control. Zzest is not responsible for, and will have no liability arising from, any action taken by a third-party platform, including account suspension, removal of links or content, or changes to platform policies. You are solely responsible for ensuring that your promotion of Sessions complies with each platform's policies.
By using the Service, you acknowledge and agree that Sessions may be recorded (video and audio), and you consent to such recording and to Zzest's use of the recordings for service improvement, quality assurance, legal compliance, content moderation, and to train our human moderation team, all as described in our Privacy Policy.
You have no expectation of privacy in content transmitted through the Service, which may be monitored, recorded, and used by Zzest.
You are responsible for disconnecting from a Session when you are finished. If you leave a Session connected, recording continues and may capture content you did not intend to share. You release Zzest and the applicable Creator from any and all liability arising out of content recorded due to your failure to disconnect, and you assume all responsibility for properly managing your Session connections.
Keep your camera focused on your cooking area and be mindful not to capture other people — including minors — without their consent.
Zzest owns the Service and its content (excluding your Creator Materials), including recordings of Sessions, and all related intellectual property rights. You may not reproduce or distribute Service content without Zzest's prior written consent.
By using the Service, you grant Zzest a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, distribute, perform, and display any Content you share through the Service, including recordings of Sessions in which you appear, for the purposes of operating, improving, moderating, and promoting the Service, and as otherwise described in these Terms and our Privacy Policy.
Nothing in this Section transfers ownership of your Creator Materials, your blog content, or your recipes to Zzest. The license in Section 10.2 applies to Content shared through the Service and recordings of Sessions, and does not grant Zzest ownership of, or an exclusive license to, your pre-existing materials.
You agree to use the Service lawfully and not to: violate any law; transmit illegal, harmful, threatening, abusive, defamatory, obscene, or infringing content; impersonate others; transmit spam or unauthorized advertising; interfere with or disrupt the Service; gain unauthorized access; use automated tools to scrape the Service; use VPNs or proxies to circumvent restrictions; or otherwise misuse the Service. Zzest may monitor, review, and remove content at any time and may report illegal content to authorities.
Zzest is an interactive computer service provider under Section 230 of the Communications Decency Act and is not responsible for content created, posted, or transmitted by users, Creators, bloggers, or third parties.
Zzest respects the intellectual property rights of others and expects its users to do the same. If you believe that content available through the Service infringes your copyright, you may notify us by emailing legal@zzest.io and providing the following information: (a) a description of the copyrighted work claimed to be infringed; (b) a description of the allegedly infringing material and where it is located; (c) your contact information; (d) a statement of your good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf. We may remove or disable access to content that we reasonably believe to be infringing, and may terminate the accounts of repeat infringers in appropriate circumstances.
We do not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZZEST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE. ZZEST'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZZEST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Zzest and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, any content you share, or, if you are a Creator, your operation of the blog or social media account(s) associated with your Creator account or any revenue or tax obligations arising from your participation.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in Dover, Delaware, under the Commercial Arbitration Rules of the American Arbitration Association, conducted by a single arbitrator in English.
You and Zzest agree to bring claims only in an individual capacity, and to waive any right to a class, collective, or representative proceeding and any right to a jury trial.
You may opt out of the arbitration agreement in this Section by sending written notice to Zest Delicious Software LLC, 8 The Green Ste A, Dover, DE 19901, USA, within thirty (30) days of your first use of the Service. If you opt out, the arbitration agreement in Section 17.1 will not apply to you, but all other terms of these Terms, including the class-action waiver in Section 17.2, will continue to apply.
Either party may bring an action in a court of competent jurisdiction in Dover, Delaware for injunctive relief or to enforce an arbitration award.
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms or use of the Service outside the United States. If you are a Creator, termination of these Terms will result in the discontinuation of your Creator status and, where applicable, your early-adopter bonus, in accordance with the terms disclosed to you. Sections that by their nature survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.
By using the Service, you consent to receive electronic communications from Zzest, including transactional emails relating to your account, onboarding, and Sessions. You agree that such electronic communications satisfy any legal requirement that communications be in writing. You may manage marketing communications as described in our Privacy Policy.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) where such failure or delay results from any cause beyond that party's reasonable control, including natural disasters, acts of government, pandemics, power failures, telecommunications or internet outages, or other similar events.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law provisions. Any court proceedings shall be brought in the state or federal courts located in Dover, Delaware.
These Terms constitute the entire agreement between you and Zzest regarding the Service. We may modify these Terms and will post changes on this page; continued use constitutes acceptance. If any provision is unenforceable, the remainder remains in effect. No waiver of any term is a continuing waiver. You may not assign these Terms without our consent; we may assign them without restriction. These Terms do not create any third-party beneficiary rights. Questions: legal@zzest.io.
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
